Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Dispatch websites, applications, and related services (collectively, the "Service") provided by Dispatch ("Dispatch," "we," "us," or "our"). By creating an account, creating a workspace, or otherwise using the Service, you agree to these Terms.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. The Service
Dispatch provides software tools that help service businesses manage operations such as leads and CRM, scheduling and jobs, team coordination, quotes and invoices, automations, documents, and related workflows. Features may vary by plan and may change over time as we improve the Service.
3. Eligibility
You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) to use the Service. You may not use the Service if you are barred from doing so under applicable law.
4. Accounts and Workspaces
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.
When you create a workspace (organization), you become responsible for that workspace's configuration, members, and Customer Data. You must ensure that only authorized people have access and that member permissions are appropriate for your business.
You agree to provide accurate account information and to keep it up to date.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful, harmful, fraudulent, or abusive purpose
- Infringe the intellectual property, privacy, or other rights of others
- Upload malware, attempt to gain unauthorized access, or interfere with the Service or its security
- Scrape, reverse engineer, or copy the Service except as allowed by law
- Send spam or unsolicited communications in violation of applicable law using the Service
- Misrepresent your identity or affiliation, or misuse customer portal or public links
- Use the Service in a way that imposes unreasonable load or disrupts other customers
We may investigate violations and suspend or terminate access when we reasonably believe these Terms have been breached.
6. Your Content and Customer Data
You retain ownership of the content and business data you submit to the Service, including customer, job, invoice, and related records ("Customer Data"). You grant Dispatch a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely as needed to provide and improve the Service, prevent abuse, and comply with law.
You represent that you have all rights and consents necessary to submit Customer Data to the Service and to permit our processing of that data. You are responsible for the accuracy and legality of Customer Data and for your communications with end customers.
7. Payments and Billing
Some features of the Service may require a paid subscription or transaction fees. If you purchase a paid plan, you agree to pay the applicable fees and taxes. Fees may be billed in advance on a recurring basis unless otherwise stated.
Payment processing may be handled by third-party processors. You authorize us and our processors to charge your selected payment method for amounts owed. Unless required by law or expressly stated otherwise, fees are non-refundable.
We may change pricing with notice. Continued use of paid features after a price change takes effect constitutes acceptance of the new pricing.
8. Third-Party Services
The Service may integrate with or link to third-party products (for example payment processors, maps, email providers, or messaging tools). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.
9. Intellectual Property
Dispatch and its licensors own the Service, including software, designs, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service. You may not use our branding without prior written permission.
10. Confidentiality
If either party receives non-public information from the other that is marked or reasonably understood to be confidential, the receiving party will use it only as needed to perform under these Terms and will protect it with reasonable care. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was independently developed, or was rightfully received from a third party without confidentiality duties.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO DISPATCH FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY AMOUNTS.
13. Indemnification
You will defend, indemnify, and hold harmless Dispatch and its affiliates, officers, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
14. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if needed to protect the Service or other users, or if required by law. Upon termination, your right to use the Service ends, and we may delete or disable access to your account and Customer Data in accordance with our retention practices and Privacy Policy.
15. Changes to the Service or Terms
We may modify the Service and these Terms from time to time. We will post updated Terms on this page and update the effective date. Material changes may also be communicated through the Service or by email. Continued use after changes become effective constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law rules. Courts located in California will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except where prohibited by applicable law.
17. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dispatch regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior consent; we may assign them in connection with a merger, acquisition, or sale of assets.
